GENERAL TERMS AND CONDITIONS OF SALE (GTCS)

General Provisions

These General Terms and Conditions of Sale (hereinafter “GTCS”) govern all contracts for the sale and supply of products concluded between Tecau S.r.l., with registered office at Via Mascagni 1, 42048 Rubiera (RE), Italy (hereinafter the “Seller”), and customers acting in the exercise of their business or professional activity (hereinafter the “Buyer”).

These GTCS form an integral and substantial part of every contract concluded between the parties.

Any general or special conditions of the Buyer shall not apply unless expressly approved in writing by the Seller.

Formation of the Contract

The Seller’s offers are non-binding, particularly with regard to quantities, prices, and delivery terms.

The contract shall be deemed concluded exclusively upon acceptance of the offer by the Buyer or upon written order confirmation by Tecau S.r.l., with the consequent full application of these GTCS.

Prices

Prices are net of VAT and any taxes, duties, fiscal or administrative charges applicable in the country of destination, which shall be borne by the Buyer.

Unless otherwise agreed in writing, prices do not include transport, shipping, insurance, installation, testing, training, technical assistance, or after-sales service costs.

Samples, Drawings and Technical Documentation

Technical data, aesthetic and qualitative characteristics, as well as weights, dimensions, and performance of the products indicated in catalogues, price lists, drawings, or illustrative documentation of Tecau S.r.l. are purely indicative and do not constitute a contractual offer.

Tecau S.r.l. reserves the right to make constructional and technical modifications to its products at any time, provided that such modifications do not substantially alter their agreed functionality or performance.

Warranty

The Seller warrants that the supplied products conform to the agreed specifications and are free from defects that would compromise their intended use.

The warranty exclusively covers:

design defects;

defects in the raw materials used.

The warranty shall not apply in the event of improper use, negligence, incorrect installation, inadequate maintenance, or storage not compliant with the Seller’s instructions.

Parts subject to normal wear and tear and electrical components are in any case excluded from the warranty.

Any modification, repair, or maintenance carried out by persons not expressly authorized in writing by Tecau S.r.l. shall automatically void the warranty.

The warranty period is 12 (twelve) months from the date of product delivery.

Any defects must be notified in writing by the Buyer within 8 (eight) days from their discovery.

Delivery

Unless otherwise agreed in writing, the sale shall be deemed Ex Works.

Delivery terms are indicative and may vary depending on the country of destination. Any delays shall not entitle the Buyer to compensation or contract termination.

All shipments are insured for the full value of the goods.

Payments

Payments shall be made within the terms and according to the methods established in the contract or order confirmation.

Payment shall be deemed completed only upon actual receipt of funds by the Seller.

In the event of delay or irregularity in payments, the Seller reserves the right to suspend ongoing deliveries and/or terminate the contract, without prejudice to compensation for damages.

Technical Standards and Liability

The Seller guarantees compliance of the products with the technical regulations in force in Italy and/or the European Union, where applicable.

The Seller shall be liable exclusively for direct damage to persons or property resulting from proven gross negligence in manufacturing.

Any liability for indirect damages, loss of production, loss of profit, or consequential damages is expressly excluded.

Retention of Title

The supplied products shall remain the exclusive property of the Seller until full payment of the price and any other amounts due by the Buyer.

Intellectual Property

Trademarks, trade names, logos, distinctive signs, and technical and commercial know-how relating to the products are and shall remain the exclusive property of Tecau S.r.l.

The Buyer undertakes not to alter, remove, or use such rights without prior written authorization from the Seller.

All documents, drawings, projects, and technical data supplied shall remain the exclusive property of Tecau S.r.l. and may not be reproduced or disclosed to third parties without written consent.

Privacy

Personal data shall be processed in compliance with Regulation (EU) 2016/679 (GDPR) and Italian Legislative Decree No. 196/2003, exclusively for purposes connected with the management of the commercial relationship.

Applicable Law and Jurisdiction

These General Terms and Conditions of Sale and the related contracts shall be governed by Italian law, with the express exclusion of the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention of 1980 – CISG).

Any dispute relating to the interpretation, execution, or validity of these GTCS and related contracts shall fall under the exclusive jurisdiction of the Court of Reggio Emilia.
